A Disciplined Approach to Selling a Business

 
  • FHL reviews the Company’s financial statements and other information, and enters into general discussions with the Owner and the Owner’s advisors.  FHL engages in preliminary due diligence and develops understanding of corporate goals and Owner’s personal goals.

  • FHL conducts detailed analyses and develops a range of values and deal structure with the Owner and the Owner’s advisors.  

  • With input from the Owner and the Owner’s advisors, FHL prepares an Executive Summary and a Confidential Offering Memorandum (the “Offering Memorandum”).  

  • FHL prepares a Potential Buyer/Investor List and reviews with the Owner for approval.  

  • FHL circulates the Executive Summary to the Buyer/Investor List.  

  • FHL obtains signed Confidentiality Agreements from interested parties and provides them with Offering Memoranda.  

  • FHL manages preliminary due diligence reviews and conducts preliminary price/structure negotiations.  

  • FHL receives indications of interest and qualifies potential buyers.  

  • FHL evaluates offers with the Owner and the Owner’s advisors and further negotiates price and terms.  

  • FHL obtains Letter of Intent and resolves key issues.  

  • FHL assists in final due diligence reviews.  

  • FHL assists the Owner’s attorney in the preparation of a Definitive Agreement.  

  • FHL assists in the closing process.
